These Terms and Conditions ("Terms", "Agreement") constitute a legally binding agreement between you ("Customer", "User", or "you") and Fit Pro Labs LLC ("Company", "we", "us", or "our"). These Terms govern your access to our website, services, and the purchase of any equipment sold by Fit Pro Labs LLC.

By accessing the website or placing an order, you agree to be bound by these Terms.

1. Use of Website

The website is provided for informational and commercial purposes. By using this website you confirm that:

  • You are at least 18 years old
  • You are legally capable of entering binding agreements
  • You will not use the website for unlawful purposes

Fit Pro Labs LLC reserves the right to restrict or terminate access to the website at any time.

2. User Accounts

If you create an account on the website you are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

Fit Pro Labs LLC shall not be liable for losses caused by unauthorized use of your account.

3. Intellectual Property

All content on this website including but not limited to:

  • Product designs
  • Images
  • Videos
  • Logos
  • Text
  • Technical documentation
  • Graphics

are the exclusive property of Fit Pro Labs LLC and are protected by intellectual property laws.

No content may be copied, reproduced, distributed, or used without written permission.

4. Orders & Payments

By placing an order you agree to pay the total purchase price including applicable taxes and shipping fees.

Fit Pro Labs LLC reserves the right to:

  • Cancel or refuse any order
  • Correct pricing errors
  • Limit quantities
  • Cancel suspected fraudulent transactions

5. Order Reservation & Production Deposit

Fit Pro Labs LLC may accept orders with a partial deposit in order to reserve inventory or secure a production slot.

When an order is placed with a 30% deposit, the Customer agrees to the following terms:

  • The deposit secures inventory allocation, manufacturing scheduling, or production capacity.
  • Once the deposit is paid, the order is considered confirmed and reserved for the Customer.
  • If an invoice, checkout confirmation, order agreement, or order notes indicate that the order includes a 30% deposit, the Customer agrees to these deposit terms.
  • The deposit is applied toward the total purchase price.
  • Because the deposit reserves production and inventory resources, the deposit is non-refundable once the order is confirmed.

This policy applies regardless of the payment method used, including credit cards, debit cards, financing services, ACH transfers, wire transfers, or manual invoices.

6. Payment Plans

Customers selecting a payment plan agree to purchase the equipment described in the official invoice issued by Fit Pro Labs LLC.

Payment plans may include:

  • Non-refundable deposit
  • Scheduled automatic payments
  • Full payment of the invoice total

Automatic charges will never exceed the invoice total.

7. Authorization for Automatic Charges

By selecting a payment plan the Customer authorizes Fit Pro Labs LLC to process recurring automatic charges until the balance is paid in full.

The Customer is responsible for maintaining valid payment information.

8. Retention of Ownership

All equipment sold under payment plans remains the exclusive property of Fit Pro Labs LLC until the invoice balance is paid in full.

Until full payment is completed the Customer may not sell, lease, transfer, pledge, or modify the equipment.

9. UCC-1 Security Interest

Fit Pro Labs LLC reserves the right to file a UCC-1 Financing Statement or similar filing to protect its ownership interest in equipment sold under payment terms.

By accepting these Terms the Customer grants Fit Pro Labs LLC a purchase-money security interest (PMSI) in the equipment.

10. Shipping & Freight Policy

Customers must inspect shipments immediately upon delivery.

If freight damage is visible:

  • Damage must be noted on the delivery receipt
  • The freight carrier must be notified immediately
  • Fit Pro Labs LLC must be notified within 48 hours

Failure to report freight damage within 48 hours may void shipping claims.

11. Installation Responsibility

Unless explicitly stated in writing, installation of equipment is the responsibility of the Customer.

Fit Pro Labs LLC shall not be liable for damages or injuries caused by improper installation.

12. Commercial Gym Liability Waiver

Fitness equipment sold by Fit Pro Labs LLC is designed for commercial and private training facilities.

The Customer acknowledges that operating fitness equipment involves inherent risk.

By purchasing equipment the Customer agrees that:

  • The Customer is responsible for ensuring proper installation and safe operation.
  • The Customer is responsible for supervising equipment usage.
  • The Customer is responsible for maintaining equipment according to safety guidelines.
  • The Customer is responsible for training staff or users on proper operation.

To the fullest extent permitted by law, Fit Pro Labs LLC shall not be liable for injuries, accidents, damages, or losses resulting from the use or misuse of equipment.

The Customer agrees to indemnify and hold harmless Fit Pro Labs LLC from any claims, liabilities, or legal actions arising from equipment use.

13. Custom Equipment Orders

Orders involving custom colors, special configurations, or custom manufacturing are considered final sale.

Custom equipment orders cannot be canceled once production begins.

14. Default & Remedies

A Customer is considered in default if:

  • A scheduled payment fails and is not resolved within 5 business days
  • A chargeback is initiated
  • These Terms are violated

Fit Pro Labs LLC may:

  • Cancel the order
  • Retain deposits
  • Accelerate remaining balances
  • Reclaim equipment
  • Pursue legal remedies including attorney's fees

15. Chargebacks

Customers agree to contact Fit Pro Labs LLC before initiating any chargeback.

Unauthorized chargebacks may constitute breach of contract.

16. Force Majeure

Fit Pro Labs LLC shall not be liable for delays caused by events beyond reasonable control including but not limited to:

  • Manufacturing delays
  • Supply chain disruptions
  • Port congestion
  • Customs inspections
  • Natural disasters
  • Labor shortages

17. Disclaimer

The website and products are provided "as is" without warranties of any kind.

18. Limitation of Liability

Fit Pro Labs LLC shall not be liable for indirect, incidental, or consequential damages resulting from use of the website or equipment.

19. Governing Law

These Terms are governed by the laws of the State of Texas.

20. Changes to Terms

Fit Pro Labs LLC reserves the right to update these Terms at any time.

Continued use of the website constitutes acceptance of the updated Terms.
